## 1. Who we are

overgpu.com and the OverGPU service are operated by OverGPU ("OverGPU", "we", "us"). These Terms of Service ("Terms") govern your use of the website, of your OverGPU account and of any server you rent from us. By creating an account, placing an order or using the service, you accept these Terms.

## 2. The service

We rent dedicated GPU servers on monthly terms. Each GPU you rent is a whole physical GPU assigned only to you: 8-GPU servers are bare-metal machines, and single-GPU plans run in a dedicated virtual machine with the full GPU passed through. The exact configuration (GPU model and count, CPU, memory, storage and network) is shown before you pay and recorded in your order, and forms part of your contract. The data-center location of your server is shown in your dashboard from delivery; if you need a specific country or region, state it in the notes of your order, and if we cannot meet it you may cancel for a full refund before delivery.

## 3. Your account

- You need an OverGPU account to order. The information you give us must be accurate, and an account is for one person or one organisation.
- Keep your password secure; we recommend turning on two-factor authentication. You are responsible for activity under your account.
- You can close your account from your dashboard once you have no active server or pending order.

## 4. Orders

1. You choose a configuration on our deployment page, with its operating system, any software to preinstall and how you log in (a root password or an SSH key). Its monthly price is shown before you pay.
2. Your order becomes binding when you pay the first month from your account balance. If your balance does not cover it, the order is held for 3 hours and paid automatically as soon as your top-up is credited; if it is not paid within that time, it is cancelled and nothing is charged.
3. Single-GPU and 8-GPU servers are delivered in under 10 minutes after the payment.
4. We provision the server and make its access details available in your dashboard. Your first month starts on the day of delivery.

Rack-scale systems are ordered by reservation request instead: nothing is charged when you send it; we confirm the allocation, price, term and location in your dashboard and by email, and the order becomes binding when you accept that confirmation and pay from your account balance. A confirmation stays valid for 72 hours unless stated otherwise.

We may decline an order, in particular when stock is not available, when verification is required and not completed (see our Verification Policy), or when providing the service would breach applicable law.

## 5. Prices, account balance and billing

- Prices are in US dollars, billed monthly in advance, and exclude VAT and other taxes, which are added where applicable.
- Servers are paid from your prepaid account balance. You add funds to it with a top-up, from $100 to $10,000 per top-up; a top-up is credited once the payment is confirmed on its network.
- **Top-up bonus:** for every full $100 in a single top-up, we add bonus credit worth 5% of the top-up, up to 50% from $1,000. Bonus credit can be used for any OverGPU service and is spent after your paid credit. It has no cash value and cannot be withdrawn, transferred or refunded.
- Plans renew automatically each month and the renewal is paid from your balance. We remind you by email before renewals, and your dashboard shows whether your balance covers them.
- If your balance does not cover a renewal, you have 72 hours to add funds; after that the server may be suspended. A server suspended for 7 days ends and its disks are securely erased. A renewal paid while the server is suspended starts a new month from the day of payment.
- Your price is fixed for each paid month. We may change prices for future months by giving you at least 30 days' notice; you may cancel before the change takes effect.
- There is no setup fee and no charge for egress traffic within the included bandwidth allowance.

## 6. Payment methods

Top-ups are paid in cryptocurrency: Bitcoin (BTC), Ethereum (ETH), Monero (XMR), Tether USDT on the TRON network (TRC-20) and Solana (SOL). Card payments are not available yet. For each top-up, the amount of cryptocurrency due is calculated from the US dollar amount at an exchange rate locked for a limited time, and you must send that exact amount, on the network indicated, to the one-time address shown. Network and exchange fees are paid by the sender. An underpaid top-up is credited once the remainder is received. Funds sent on another network, in another coin or to an expired address may not be recoverable; we help on a best-effort basis. Crypto payments are processed through third-party exchange and payment providers. We issue an invoice for every server payment and renewal, and a receipt for every top-up.

## 7. Delivery

Single-GPU and 8-GPU servers are delivered in under 10 minutes after your payment.

## 8. Term, renewal and cancellation

The minimum term is one month. You can cancel at any time, with no cancellation fee, by turning off renewal in your dashboard before your next renewal date. Your server remains available until the end of the paid month, after which it is decommissioned and its disks are securely erased. Longer terms and volume pricing may be agreed in writing.

## 9. Your responsibilities

- Use the service in accordance with our Acceptable Use Policy and applicable law, including export control and sanctions laws.
- Keep your account credentials, root passwords and SSH keys secure; you are responsible for activity on your account and your servers.
- Back up your data. Local storage is not backed up by us unless agreed in writing.

## 10. Service levels

We commit to 99.9% monthly availability for power, network and hardware on every server, with service credits if we fall short, as defined in our Service Level Agreement. Support is available 24/7.

## 11. Your data

You keep all rights to the data you store on your servers. We do not access it except when necessary to operate or repair the service at your request, or when required by law. Disks are securely erased between customers. Personal data that we process about you is described in our Privacy Policy.

## 12. Suspension

We may suspend a server, after notice where reasonably possible, in case of non-payment, a breach of the Acceptable Use Policy, a security threat to our infrastructure or other customers, or a legal requirement. We restore the service as soon as the cause is resolved.

## 13. Liability

To the extent permitted by law, our total liability for any claim relating to the service is limited to the amounts you paid for the affected server during the three months before the event giving rise to the claim, and we are not liable for indirect losses such as loss of profit, revenue or data. Service credits under the SLA are your primary remedy for unavailability. Nothing in these Terms limits liability that cannot be limited by law.

## 14. Changes to these Terms

We may update these Terms. Material changes are notified by email at least 30 days before they apply to your next renewal; the version in force when you pay applies to that month.

## 15. Governing law

These Terms are governed by the laws of the country where the operator of OverGPU is established, as stated on your invoice. Mandatory consumer protection rules of your country of residence continue to apply where relevant.

## 16. Contact

Customers with an active server can ask questions about these Terms in a support ticket from their dashboard. [How support works](https://overgpu.com/contact).
